Terms of Use

These Terms of Use ("Terms") govern your access to and use of AirCast and the related Services provided by Julix LTD ("AirCast", "we", "our"). By creating an account, hosting a webinar, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Terminology

The following terms have the meanings set out below:

  • Services refers to the AirCast website, dashboard, registration pages, live and recorded streaming, chat and Q&A tools, analytics, branded landing pages, reminder system, integrations, APIs, and any other features or tools we provide.
  • You or Organizer means the individual or entity that opens an AirCast account.
  • Registrant or Attendee means a person who registers for or joins a webinar hosted through your account.
  • Content means anything uploaded, streamed, or otherwise made available through the Services by you, your presenters, or your attendees.

Acceptance and Modifications

These Terms form a binding agreement between you and AirCast. We may update them from time to time. When we make material changes, we will provide notice through the Services or by email. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

Your Use of the Services

To use the Services you must be at least 18 years old and legally capable of entering into a binding agreement. You represent and warrant that:

  • The information you provide to us is accurate, current, and complete, and you will keep it up to date.
  • You have all rights necessary to upload, stream, or share any Content through the Services, including rights from any presenter who appears on stream.
  • You are not restricted from using the Services under applicable law.

You are solely responsible for activity in your account and for keeping your credentials confidential. Notify us promptly if you suspect unauthorized access.

If you submit feedback or suggestions about the Services, you grant AirCast a perpetual, royalty-free, non-exclusive license to use that feedback to improve the Services, without obligation to you.

Your Registrants and Attendees

When you collect or upload information about registrants or attendees, you represent that you have a lawful basis to do so and that your collection and use complies with applicable privacy and anti-spam laws, including GDPR, CAN-SPAM, and similar regimes.

Reminder emails and SMS messages sent through AirCast may only be sent to people who have agreed to receive communications from you about the relevant event. You are solely responsible for the lawfulness of those communications.

You act as the controller of registrant and attendee Personal Information; AirCast acts as a processor on your behalf with respect to that data, as described in our Privacy Policy. A written Data Processing Agreement (DPA) and current sub-processor list are available on request at legal@useaircast.com.

Restrictions

You agree not to use the Services to:

  • Harass, threaten, defame, or violate the rights of any person.
  • Stream, upload, or distribute content that is illegal, infringing, hateful, sexually explicit involving minors, or otherwise inappropriate.
  • Infringe any intellectual property, privacy, or publicity rights.
  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except to the extent applicable law expressly permits.
  • Send unsolicited bulk messaging, spam, or any communication in violation of anti-spam laws.
  • Upload viruses, malware, or any code intended to disrupt, damage, or gain unauthorized access to systems or data.
  • Use the Services to harvest, scrape, or otherwise collect Personal Information without consent.
  • Interfere with or disrupt the integrity, performance, or security of the Services.
  • Resell, sublicense, or otherwise make the Services available to third parties outside the scope of your subscription.

Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be error-free, uninterrupted, or free of harmful components.

To the maximum extent permitted by law, AirCast disclaims all liability for delays, inaccuracies, failures, errors, omissions, or interruptions in the Services, and for any damage to your systems or data arising from your use of the Services. You assume all risk from your reliance on the Services.

Payments

Paid plans are billed on a recurring basis (monthly or annual, as you choose at checkout). By providing payment details, you authorize us and our payment processor to charge the applicable fees, plus any taxes and overage charges, until you cancel.

A trial period, if offered, may require valid payment details on file. If you do not cancel before the trial ends, the plan converts to a paid subscription and you will be charged.

All fees are exclusive of taxes, levies, and duties, which are your responsibility. Failed or declined payments may result in immediate suspension of the Services. Except where required by law, subscription fees are non-refundable.

We may change pricing from time to time. Changes apply at the start of your next billing cycle and will be communicated in advance.

The Services may contain links to third-party websites or resources for your convenience. AirCast does not control those resources and is not responsible for their content, accuracy, or availability, or for any loss or damage caused by your use of them.

Indemnification

You agree to defend, indemnify, and hold harmless AirCast, its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services, your Content, your communications with registrants and attendees, or your violation of these Terms or applicable law.

Intellectual Property

The Services, including all software, design, text, graphics, logos, and trademarks, are owned by AirCast or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during the term of your subscription, subject to these Terms.

You retain ownership of the Content you upload or stream. By submitting Content, you grant AirCast a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, encode, display, and otherwise use that Content solely as needed to operate and improve the Services.

Embed and widget code we provide (for example, registration widgets or chat embeds) is licensed for use only on websites you own or operate, for the duration of your subscription.

Notice and Takedown

If you believe Content on the Services infringes your rights, send a written notice to legal@useaircast.com identifying the Content, your contact information, and the rights you claim are infringed. We may remove or disable access to allegedly infringing Content without prior notice and may terminate accounts of repeat infringers.

Violations and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, if your account creates risk or legal exposure for us or others, or if your account remains unused for an extended period. AirCast will not be liable to you or any third party for any such suspension or termination.

You may cancel your subscription at any time from the billing settings in your account. Cancellation takes effect at the end of the current billing cycle.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles. The competent courts in Tel Aviv-Jaffa have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to that jurisdiction and venue.

Miscellaneous

  • Severability. If any provision of these Terms is unenforceable, it will be limited to the minimum extent necessary, and the rest of the Terms will remain in effect.
  • Assignment. You may not assign these Terms without our written consent. AirCast may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including outages of third-party infrastructure, natural disasters, or government action.
  • Survival. Provisions that by their nature should survive termination (including ownership, indemnification, disclaimers, and governing law) will survive.
